Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On September 8, 2015, Nasdaq notified ChinaNet Online Holdings, Inc. (the “Company”) that its common stock failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days as required by the Listing Rules of the Nasdaq Stock Market. Since then, Nasdaq has determined that for the last 10 consecutive business days, from August 19, 2016 to September 1, 2016, the closing bid price of the Company’s common stock has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Listing Rule 5550(a)(2) and this matter is now closed. 

On September 6, 2016, the Company issued a press release with respect to regaining compliance with the NASDAQ listing requirement, a copy of which is attached as Exhibit 99.1 and is incorporated herein by reference.

ChinaNet Online Meets NASDAQ Listing Requirements

BEIJING, Sept. 06, 2016 (GLOBE NEWSWIRE) -- ChinaNet Online Holdings, Inc. (NASDAQ:CNET) ("ChinaNet" or the "Company") announced receipt of a letter from the NASDAQ Stock Market stating that the Company has regained compliance with the $1.00 minimum closing bid price listing requirement and that, accordingly, it has determined to continue the listing of the Company's common stock on the NASDAQ Capital Market.

Previously, ChinaNet had been notified by the NASDAQ Stock Market of non-compliance with the minimum bid price rule because its common stock failed to meet the closing bid price of $1.00 or more for 30 consecutive business days. In order to regain compliance with the rule, the Company was required to maintain a minimum closing bid price of $1.00 or more for at least 10 consecutive trading days. This requirement was met on September 1, 2016, the tenth consecutive trading day when the closing bid price of the Company's common stock traded over $1.00.
